# MoneyTools Partner Terms (version 2026-11-04.2)

## English
1. No income guarantee: this program does not guarantee any income. You earn only when users you refer actually pay; your earnings may be zero.
2. Free to join with a Base wallet address; no KYC. One partner account per person/agent operator; one wallet per account. We may refuse or close any account.
3. You earn: 20% of MoneyTools' net revenue (amount received minus payment-processor and gas costs, currently 0) from buyers you refer, for 12 months from that buyer's first attributed purchase; 20% of the 25 USDC listing fee for sellers you refer, plus 20% of their commission top-ups for 12 months; 20% of our swap fee on swaps you claim with a tx hash, after manual on-chain review. No share on Pay Gateway fees (already covered by the credits purchase). No signup bonuses.
4. Partner referrals (maximum 2 tiers): if another partner joins with your ref code (field "ref" at signup), you earn 5% of MoneyTools' net revenue on every sale credited to that partner, for the same 12-month buyer window, with the same hold periods and clawbacks. It is paid by MoneyTools on top of their 20% and never reduces it. Only your direct referrals count: there is no third tier. The referral link is fixed at signup and cannot be changed later. A partner cannot be referred by a wallet, partner key or signup client (machine) that belongs to them, and no referral loops are possible. Nothing is paid for a signup itself; with no customer payments there are no commissions.
5. Not MLM: there is no joining fee, nothing to buy and no bonus for recruiting. All commissions come only from real customer payments to MoneyTools.
6. Attribution: ref code in links (?ref=), the X-Ref header, or MCP config. First valid attribution wins: once a buyer wallet is tied to a partner it stays with that partner for 12 months. A ref seen from the same client attributes purchases for 30 days.
7. Not credited (self-referral): purchases paid by your own registered wallet, made with your partner key, from your own signup client, or listings whose seller wallet is yours. The same applies to the 5% tier-2 share: no tier-2 share on purchases paid, keyed or made from the referring partner's own wallet, key or client. Testnet payments are not credited.
8. Hold period: general accruals (buyer payments, seller commission top-ups, swap fees) are pending for 14 days; marketplace listing-fee accruals are pending for 30 days. They become payable only after the hold ends. We claw back accruals for refunds, chargebacks, failed activations, fraud, self-referral, or listings delisted for violations; already-paid clawbacks are netted against future earnings.
9. Payouts are manual: once your available balance is at least 5 USDC we prepare a payout in USDC on Base to your registered wallet, and each payout is approved by the MoneyTools owner before it is sent. Nothing is transferred automatically; timing is not guaranteed (target: monthly). Balances below 5 USDC roll over.
10. Conduct: no unsolicited mass messaging (email, DMs, forum/issue/PR spam, comment bots), no fake reviews, no misleading claims, no promises of profit, no bidding on our brand, no implying endorsement by third parties. You must clearly disclose that you are paid when you recommend MoneyTools (see the pitch kit's disclosure line).
11. We may ban partners who break these terms; accruals tied to violating activity are forfeited. We may change rates with 14 days' notice on this page; changes apply only to future accruals.
12. You are responsible for your own taxes. The ledger is off-chain at partners.moneytools.dev; check it any time with your partner key.

4. 介紹業務員（最多 2 層）：別的業務員註冊時填你的推薦碼（欄位 "ref"），之後每一筆算在他名下的成交，你另外拿 MoneyTools 淨收入的 5%，一樣是 12 個月的買家期間、一樣的持有期和收回規則。這 5% 由 MoneyTools 另外支付，不會扣他的 20%。只算你直接介紹的人，沒有第 3 層。介紹關係在註冊時決定，之後不能改。不能用自己的錢包、夥伴金鑰或同一台用戶端（機器）當自己的介紹人，也不可能形成循環。註冊本身不付任何錢；沒有客人付款就沒有分潤。
5. 不是傳銷：沒有入會費、不用買任何東西、拉人頭沒有獎金。所有分潤只來自真實客人付給 MoneyTools 的錢。
6. 歸屬方式：連結上的 ?ref=、X-Ref 標頭、或 MCP 設定。先歸屬的先算：買家錢包一旦歸給某位夥伴，12 個月內都算他的。同一個用戶端看過你的 ref 之後 30 天內的購買也算你的。
7. 不計分潤（自我推薦）：用你自己登記的錢包付款、帶著你的夥伴金鑰購買、從你註冊時的同一個用戶端購買、或賣家錢包是你自己的上架。5% 第二層分潤也一樣：介紹人自己的錢包、金鑰或用戶端付款不算。測試網付款不算。
8. 持有期：一般分潤（買家付費、賣家佣金加值、換幣手續費）掛 14 天；市集上架費分潤掛 30 天，持有期過後才能出款。遇到退款、拒付、開通失敗、詐騙、自我推薦，或上架因違規被下架，會收回分潤；已經付出的會從之後的收入扣回。
9. 出款是人工的：可出款餘額滿 5 USDC，我們會準備一筆 Base 上的 USDC 出款到你登記的錢包，每一筆都要 MoneyTools 負責人核准後才送出。不會自動轉帳；時間不保證（目標每月一次）。未滿 5 USDC 累積到下次。
10. 行為規範：禁止未經同意的大量訊息（Email、私訊、論壇／Issue／PR 洗版、留言機器人）、假評論、誤導性說法、保證獲利、搶我們的品牌關鍵字、暗示第三方背書。推薦 MoneyTools 時必須清楚揭露你有拿佣金（見推廣素材的揭露句）。
11. 違反條款我們可以停權，違規活動相關的分潤不予支付。費率調整會在本頁提前 14 天公告，只影響之後的分潤。
12. 稅務由你自行負責。帳本放在 partners.moneytools.dev（鏈下），隨時可以用夥伴金鑰查詢。
